Overseas holding companies: legal and tax strategies for investment funds and large corporations

In a globalized economic environment, asset structuring through international holding companies goes beyond a matter of organizational preference: it is a vital strategic decision. For investment funds and large corporations, the correct location of a matrix can determine the viability of an expansion or the net return of a divestment.

From Afianza, we analyze the legal and fiscal keys that govern these structures, integrating Spanish regulations with the requirements of the European Union and OECD standards.

The strategic value of the Holding Society

An international holding entity acts as the financial and legal "brain" of a group. Its main function is the holding of shares in foreign subsidiaries, centralizing decision-making and, fundamentally, optimizing the flow of capital (dividends and capital gains).

For an investment fund, this structure allows:

  • Insulation of risks: The legal contingencies of a subsidiary in a specific market do not contaminate the assets of the rest of the group.
  • Flexibility on output (Exit Strategy): It facilitates the sale of shares with a minimum tax burden, allowing the immediate reinvestment of liquidity.

The Fiscal Framework: From Exemption to Economic Substance

The main attraction of a holding company lies in the exemption to avoid double taxationHowever, the rules of the game have changed dramatically in recent years towards a model of "transparency and substance".

The ETVE Regime in Spain

Spain has consolidated itself as one of the most competitive destinations in the world for international holding thanks to the Foreign Securities Tenure Entities (ETVE).

  • Key advantage: It offers an exemption (currently 95% under the general scheme) from dividends and capital gains obtained from foreign affiliates.
  • Attractive to non-resident investors: The dividends distributed by ETVE to its foreign parent are usually not subject to withholding in Spain, which makes our country an excellent investment platform for Latin America or the rest of Europe.

European legislation: The fight against "screen societies"

The European Union has tightened the requirements by means of the directive ATAD 3 (or Directive) Unshell). It is no longer enough to have a CIF and a bank account. To access tax benefits, a holding company must demonstrate minimum substance:

  1. Physical presence: Own offices or offices for exclusive use.
  2. Local governance: Qualified directors resident in the jurisdiction who make real decisions, not mere testaferros.
  3. Independence: Failure to outsource the day-to-day management of its core functions to third parties.

International Strategies and the BEPS Plan

At the international level, the OECD, through its plan BEPS (Base Erosion and Profit Shifting)seeks to prevent large corporations from artificially transferring profits to low-tax jurisdictions.

The current strategies are no longer based on opacity, but rather on the use of Agreements to Avoid Double Taxation (CDI). Spain has a network of more than 90 agreements that allow to reduce or eliminate withholding taxes on interest, royalties and dividends. For a corporation with presence on several continents, choosing a jurisdiction with a solid CDI network is the difference between a profitability of 7% or 10%.

Legal Challenges: Legal Security and Compliance

Operating a holding company abroad carries a compliance burden (compliance) high. These are not only taxes, but also:

  • Transfer prices: It is imperative that transactions between the holding company and its subsidiaries be valued at market prices in order to avoid sanctions by the tax authorities.
  • Transparency International Fiscal (CFC Rules): Local regulations may charge foreign holding income directly to partners if the structure is considered to have no valid economic motive.

Conclusion: The need for cross-cutting advice

Creating a holding structure abroad is not a “series” solution. It requires a detailed analysis of the source of income, the destination of investments and the profile of the final partners.

In AfianzaWe combine our experience in international taxation with a practical vision of business to design structures that not only comply with the legality in force in 2026, but also provide long-term agility and legal certainty.
